MaintainX Asset Connect Data Sharing Policy

Customer acknowledges and agrees that:
- Customer may use the Service to collaborate with Strategic OEM Partners via the Service.
- Customer authorizes MaintainX to provide to Strategic OEM Partners access to Customer Data in the form of Documents and Communications that Customer has provided via the Service with respect to the applicable Strategic OEM Partner, which Documents and Communications will identify Customer to any applicable Strategic OEM Partners.
- Customer may discontinue sharing Documents and Communications with Strategic OEM Partners at any time using the Service.
- MaintainX grants Customer a non-exclusive, non-transferable license to (1) use and reproduce the Content solely in connection with Customer’s use of the Service, and (2) create, use, and reproduce derivative works of the Content in connection with the Service.
- Except as expressly set forth herein, MaintainX (or its licensor(s)) will retain all right, title and interest to the Content. MaintainX’s license(s) to Customer confers no title or ownership and is not a sale of any rights in the Content. Customer will not remove, alter, cover or obfuscate any licenses, copyright notices or other proprietary rights notices placed or embedded by MaintainX (or its licensor(s)) on or in the Content, if applicable.
- The foregoing will remain in effect for so long as an agreement regarding the provision by MaintainX of the Service to Customer (the “Agreement”) remains in effect, unless the foregoing is earlier terminated by either party by written notice to the other.
- Capitalized terms not otherwise defined above will be as defined in the Agreement. The following terms will mean:
- “Communications” means announcements, notifications, alerts and advertisements sent from Customer to Strategic OEM Partner(s) (and/or others) or sent from Strategic OEM Partner(s) to Customer, in each case via the Service.
- “Content” means information related to Strategic OEM Partner’s equipment and the functionality of such equipment, including, for example, equipment specifications, model, instructions, documentation, and attachments.
- “Documents” means (1) information related to the equipment owned and/or operated by Customer, and (2) a record of commercial transactional data managed via the Service, including maintenance documents related to maintenance notifications, work orders, and work order operations.
- “Strategic OEM Partner” means an original equipment manufacturer with which MaintainX has an arrangement to provide Content.
